Welcome to Project Vara (the "Platform"). These Terms and Conditions ("Terms") govern your access to and use of our website, mobile applications, and livestreaming services (collectively, the "Services").

By creating an account, viewing a stream, or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Platform, as any usage will constitute agreement to be bound by these Terms.

1. Eligibility and Account Registration

  • Age Requirement: You must be at least 13 years old to use the Services. If you are under 18, you represent that you have your parent or legal guardian’s permission to use the Platform.
  • Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

2. User-Generated Content & Livestreaming Rules

You retain ownership of the text, chat messages, videos, and livestreams you broadcast on the Platform ("User Content"). However, by streaming or posting content, you grant the Platform a worldwide, royalty-free, sublicensable, and transferable license to host, display, reproduce, and distribute your content.

Prohibited Content

You strictly agree that you will not broadcast, upload, or share any content that:

  • Is illegal, defamatory, libelous, or invasive of another person's privacy.
  • Depicts explicit nudity, sexual acts, or gratuitous violence.
  • Promotes hate speech, harassment, bullying, or discrimination.
  • Infringes upon the intellectual property rights of others, including unauthorized background music, movie screenings, or video game assets without permission.

3. Copyright & DMCA Policy

We respect intellectual property rights and respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act ("DMCA").

  • If you believe your copyrighted work has been infringed, please submit a takedown notice to our designated Copyright Agent at legal@projectvara.com .
  • Repeat Infringer Policy: We operate a "three-strikes" policy. Users who repeatedly infringe copyrights will have their accounts permanently terminated.

4. Consumer Subscriptions, Trials, and Fees

New consumer accounts receive a 14-day trial from registration without a payment method. After the trial, a paid consumer subscription automatically renews monthly unless it is canceled through the billing portal. One subscription covers the account; charges are not per user, member, or host seat.

  • Current offer and cutoffs: The current Standard offer and its price cutoff are shown on the landing page and are determined by Pacific time. The price shown immediately before a cutoff is reserved for a 30-minute Checkout Session after Checkout begins.
  • Grandfathered rate: After verified subscription checkout, the selected monthly rate remains grandfathered for the lifetime of a continuously active subscription, including an active trial, active billing, a cancellation pending at period end, or a payment recovery period.
  • Cancellation: A cancellation requested through the billing portal takes effect at the end of the current paid period. Reversing the cancellation before that period ends preserves service and the grandfathered rate. A terminal cancellation ends the grandfathered rate; a later subscription uses the then-current offer.
  • Payment recovery: A failed renewal may receive a 14-day recovery period while payment retries run. Successful recovery restores active service. If recovery is exhausted, service is canceled and the grandfathered rate is lost.
  • Geography and currency: The initial paid offer is limited to customers with U.S. billing addresses and is charged in USD. Applicable tax may be added in the future when tax collection is enabled.
  • Virtual Items: Users may purchase virtual currency, gifts, or subscriptions ("Virtual Goods"). Virtual Goods hold no real-world monetary value and are non-refundable.
  • Revenue Share: If you are a streamer eligible for payouts, payments will be processed according to our applicable payout or streamer policy. We reserve the right to withhold payouts for violations of these Terms.
  • Chargebacks: Fraudulent chargebacks by viewers will result in immediate account suspension.

5. Platform Moderation and Termination

  • Right to Monitor: We reserve the right, but have no obligation, to monitor livestreams and chats. We use automated tools and human moderators to enforce safety guidelines.
  • Suspension & Termination: We may suspend or terminate your access to the Services at any time, without notice, for violating these Terms, causing harm to the community, or for legal reasons.

6. Disclaimers and Limitation of Liability

"As Is" Service: The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that livestreams will be uninterrupted, secure, or free of lag and errors.

  • No Liability for User Conduct: We are not responsible for the behavior, language, or content of our users, whether online or offline. You view livestreams at your own risk.
  • Limitation of Liability: To the maximum extent permitted by law, Project Vara shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or goodwill.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Arizona in the United States, without regard to its conflict-of-law principles. Any disputes arising from these Terms will be settled in the courts of Maricopa County, Arizona in the United States.

8. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you via email or through a prominent notice on the Platform. Your continued use of the Platform after changes become effective constitutes your acceptance of the new Terms.
